Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, and services provided by prodxcloud Pte. Ltd. ("VxCloud", "we", "us", or "our"), a company registered at 68 Circular Road, #02-01, Singapore 049422 (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. What we provide
VxCloud is an AI-powered multi-cloud management and deployment platform. We help you build, deploy, manage, secure, and optimize applications and infrastructure across third-party cloud providers (including AWS, Microsoft Azure, Google Cloud, Oracle Cloud, DigitalOcean, and self-hosted Kubernetes) and customer-controlled environments.
Our Services include, but are not limited to:
- Multi-cloud orchestration — unified dashboard to provision and manage resources across 7+ cloud providers.
- AI agents and agentic automation — autonomous agents that handle provisioning, monitoring, security scanning, and cost optimization on a 24/7 basis.
- Infrastructure as Code (IaC) — Terraform and Pulumi integration with a visual builder.
- CI/CD pipelines — automated build, test, and deployment workflows with GitHub and GitLab integration.
- Managed databases — PostgreSQL, MySQL, Redis, MongoDB, ClickHouse, and more with automated backups and scaling.
- Billing & Cost AI agents — intelligent cost tracking, anomaly detection, and optimization recommendations.
- Observability — real-time metrics, logs, and distributed tracing with AI-driven anomaly detection.
- Security — zero-trust architecture, secrets management, RBAC, and automated vulnerability scanning.
- Studio IDE — AI-assisted code editor and development environment.
- Marketplace — pre-built integrations and one-click app deployments.
We are not a hosting provider. We do not host your websites or applications directly. We help you manage, deploy, and orchestrate your infrastructure across cloud providers. You maintain direct relationships and billing with your cloud providers.
Some features use AI-driven automation and agentic workflows (for example, guided provisioning, runbooks, auto-remediation, and recommendations). These tools are assistive in nature. You remain solely responsible for reviewing all changes and for the outcomes in your cloud environments.
2. Eligibility and account security
- You must be at least 18 years old and legally able to enter into these Terms.
- You must provide accurate, current, and complete account information (including your name, email, company name, phone number, and country).
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must promptly notify us at [email protected] of any suspected unauthorized access or security incident.
- We may verify your identity or organization before granting access. Confirmation of access and next steps will be emailed within 24 hours of your request or payment.
3. Customer responsibilities
You are responsible for:
- Maintaining your cloud provider accounts, subscriptions, billing relationships, and required permissions.
- Ensuring you have the right to connect and manage any environments, systems, and data you authorize through the Services.
- Configuring least-privilege access for API keys, tokens, SSH keys, and service accounts you provide to VxCloud.
- Validating all deployments, resource changes, and automation outputs before using them in production.
- Compliance with applicable laws and your own contractual obligations (including privacy, data protection, and export control laws).
- Conducting your own due diligence and security assessments. We strongly recommend engaging a qualified cybersecurity professional or security consultant before deploying production workloads.
4. Acceptable use
You agree not to:
- Use the Services for illegal, harmful, fraudulent, or abusive activities.
- Attempt to gain unauthorized access to any systems, accounts, or data.
- Interfere with the integrity, performance, or availability of the Services (including probing, scanning, or load testing without prior written permission).
- Upload or transmit malware, or use the Services to distribute harmful content.
- Reverse engineer, decompile, or attempt to discover source code except to the extent permitted by applicable law.
- Use the AI agents or automation features to launch attacks, generate abusive content, or circumvent security controls.
- Resell or redistribute the Services without prior written agreement.
- Use the Services to mine cryptocurrency or run workloads unrelated to your legitimate business operations without prior approval.
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
5. Third-party services and cloud providers
The Services integrate with and help you manage third-party platforms including, but not limited to, cloud providers (AWS, Azure, Google Cloud, Oracle Cloud, DigitalOcean), source code platforms (GitHub, GitLab), container registries, monitoring tools, and payment processors. Your use of third-party services is governed by your separate agreements with those providers.
We are not responsible for third-party services, their outages, security incidents, pricing changes, API changes, or data practices. You are responsible for any fees charged by third parties as a result of actions taken through the Services.
6. Authentication and OAuth
We offer single sign-on (SSO) authentication through third-party OAuth providers including Google, GitHub, Microsoft, and GitLab. When you authenticate through these providers:
- We receive limited profile information (such as your name, email, and profile picture) as authorized by your OAuth provider settings.
- We do not receive or store your third-party passwords.
- You are responsible for the security of your third-party accounts.
- We may lose the ability to authenticate you if you revoke access on the third-party platform.
7. AI agents, automation, and agentic workflows
Certain features of the Services use artificial intelligence, machine learning models, and autonomous agents to assist with infrastructure provisioning, monitoring, cost optimization, security scanning, and other operations.
Important disclaimers regarding AI features:
- AI outputs are recommendations and assistive suggestions, not guarantees. You must review and validate all AI-generated actions before applying them to production environments.
- AI agents may access your infrastructure metadata, logs, and configuration to provide their services. You control the scope of access granted.
- We do not guarantee the accuracy, completeness, or suitability of AI-generated recommendations for your specific use case.
- You are solely responsible for decisions made based on AI recommendations and for any consequences of actions executed by AI agents in your environments.
- AI features may be updated, improved, or modified. We will use commercially reasonable efforts to notify you of material changes.
8. Credentials and secrets management
To deliver certain Services, you may provide us with credentials such as API keys, SSH keys, access tokens, and service account credentials. You acknowledge that:
- You are responsible for granting only the minimum permissions necessary (least-privilege principle).
- We encrypt credentials at rest and in transit using industry-standard methods.
- You should rotate credentials regularly and revoke any credentials that may have been compromised.
- We will access your credentials solely to deliver the Services as instructed by you.
- We are not responsible for unauthorized access resulting from overly permissive credential configurations.
9. Data, customer content, and feedback
Customer content. You retain ownership of all content and data you submit to the Services (including configurations, source code, logs, and operational metadata) and of the systems you manage using the Services.
License to operate. You grant us a limited, non-exclusive, revocable right to process customer content solely to provide, maintain, secure, and improve the Services and to perform support.
Aggregated data. We may use anonymized and aggregated data derived from your use of the Services for analytics, benchmarking, and product improvement. This data will not identify you or your organization.
Feedback. If you provide suggestions, feature requests, or feedback, you grant us the right to use it without restriction or obligation to compensate you.
10. Security
We implement reasonable administrative, technical, and organizational safeguards designed to protect the Services, including encryption in transit (TLS), encryption at rest, role-based access controls (RBAC), audit logging, and regular security assessments.
You are responsible for securing your own accounts, credentials, networks, and cloud environments. No method of transmission or storage is completely secure, and we do not guarantee absolute security.
You are responsible for conducting your own security audits, penetration testing, and compliance assessments for your infrastructure and applications. We recommend engaging qualified cybersecurity professionals before deploying production workloads.
11. Subscriptions, fees, and taxes
The Services are available under multiple plans, including free, professional, and enterprise tiers. Fees, plan limits, and billing cycles are described at purchase or within the Services.
- Unless otherwise specified, fees are non-refundable.
- We may change pricing with at least 30 days' prior notice. Continued use after the price change constitutes acceptance.
- You are responsible for any applicable taxes, duties, or government assessments.
- Overdue payments may result in suspension of Services. We will provide reasonable notice before suspension.
- Enterprise customers may have custom billing terms as outlined in their service agreement.
12. Service level and uptime
We target 99.99% uptime for the core platform. Specific service level agreements (SLAs) and remedies may be available for enterprise plan customers under a separate agreement.
Scheduled maintenance windows will be communicated in advance where practicable. We are not responsible for downtime caused by third-party cloud provider outages, force majeure events, or issues within your own infrastructure.
13. Support and service changes
Support channels and response times vary by plan. We may update, modify, or discontinue parts of the Services at any time. If changes materially reduce core functionality of a paid plan, we will use commercially reasonable efforts to notify you at least 30 days in advance.
14. Intellectual property
The Services, including software, interfaces, AI models, design elements, documentation, and trademarks, are owned by VxCloud or its licensors and are protected by intellectual property laws.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during your active subscription.
You retain all intellectual property rights in your own applications, code, and content that you build, deploy, or manage using the Services.
15. Suspension and termination
We may suspend or restrict access to the Services if we reasonably believe there is a security risk, suspected fraud, abuse, or a violation of these Terms, or if required by law.
You may stop using the Services and close your account at any time by contacting us. Upon termination:
- Your access to the Services will be revoked.
- We will delete your account data within 90 days, unless retention is required by law.
- We will make commercially reasonable efforts to allow you to export your data before deletion.
- Termination does not relieve you of payment obligations accrued prior to termination.
- Any credentials stored on our platform will be permanently deleted.
16. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that:
- The Services will be uninterrupted, error-free, or free of vulnerabilities.
- AI or automation outputs will be accurate, complete, or suitable for your requirements.
- The Services will be compatible with all third-party platforms or configurations.
- Data loss will not occur (you are responsible for maintaining your own backups).
17. Limitation of liability
To the maximum extent permitted by law, VxCloud will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Services, including but not limited to:
- Actions taken by AI agents or automation workflows in your environments.
- Misconfiguration of infrastructure or credentials by you or your team.
- Third-party cloud provider outages, billing disputes, or data loss.
- Unauthorized access resulting from compromised credentials.
Our total aggregate liability under these Terms will not exceed the amount you paid to VxCloud in the twelve (12) months preceding the event giving rise to the claim.
18. Indemnity
You agree to indemnify and hold harmless VxCloud and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your customer content, your violation of these Terms, or your violation of any third-party rights.
19. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of laws principles.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to the Singapore International Arbitration Centre (SIAC) for resolution in accordance with its rules.
20. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Services at least 14 days before they take effect. If you continue using the Services after changes become effective, you agree to the updated Terms. If you do not agree, you may close your account.
21. General provisions
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VxCloud regarding the Services.
- Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
- No waiver. Failure to enforce any provision does not waive our right to enforce it later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, pandemic, government action, internet disruption).
